Introduction

Prior to using any Bookcicle, LLC (hereinafter referred to as “we”, “us”, “our” or “Bookcicle”) application, services, or website and prior to signing in to our website, please read the following Terms of Service Agreement (these “Terms” or this “Agreement”). These Terms govern your (“you” or “your”) access to and use of the website bookcicle.com and the services owned, operated and provided by Bookcicle (collectively, the “Site”). Your access to and use of the Site are expressly conditioned on your acceptance of and compliance with these Terms.

BY ACCESSING AND USING THE SITE IN ANY MANNER, YOU ARE ACCEPTING AND AGREEING TO BE BOUND BY THESE TERMS TO THE EXCLUSION OF ALL OTHER TERMS. IF YOU DO NOT UNCONDITIONALLY ACCEPT THESE TERMS IN THEIR ENTIRETY, YOU SHALL NOT (AND SHALL HAVE NO RIGHT TO) ACCESS OR USE THE SITE. Bookcicle reserves the right to change all or any part of these Terms, the Site and the fees or charges for use of the Site at any time. Any such change(s) will be effective immediately upon notice, which may be provided by any means, including, without limitation, e-mail correspondence or a post on the Site. Your continued use of the Site after such notice is provided shall constitute your acceptance of such changes.

Sign-in

At the time that you sign in to the Site, you agree to the following:

  1. That you are at least thirteen (13) years old.
  2. That the information you provide is accurate, current and complete (including your valid email address).
  3. That you will maintain and update your information (including your valid email address) to keep it accurate, current and complete.

You acknowledge that if any information provided by you is untrue, inaccurate, not current or incomplete and as a result you do not receive communications we have attempted to send to you, then you cannot claim a lack of notice regarding such communications. You further acknowledge that such communications could materially affect your rights under these Terms, and that Bookcicle reserves the right to terminate your access to and use of the Site at any time.

We may refuse to grant you a username for any reason in our sole discretion. You will be responsible for the confidentiality and use of your username and password and agree not to disclose your username and password or transfer or sell your use of or access to the Site to any third party. YOU ARE ENTIRELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR USERNAME AND PASSWORD AND FOR ANY AND ALL ACTIVITIES (INCLUDING PURCHASES, AS APPLICABLE) THAT ARE CONDUCTED THROUGH YOUR ACCOUNT.

Use of the Site

Subject to and conditioned upon your compliance with these Terms, and solely for so long as you are permitted by Bookcicle to access the Site, we grant to you a non-exclusive, non-transferable, non-sub-licensable, limited right and license to access the Site, including any text, images, graphics, videos, visuals, sounds, data, files, links and other materials incorporated into the Site (other than your Content (as herein defined)), solely as made available by us, solely as necessary to access the Site and solely for your own purposes, provided that you keep intact all copyright and other proprietary notices. The Site, including all such materials and all intellectual property rights therein, remains the property of Bookcicle or its licensors or suppliers. Except as expressly authorized by these Terms, you may not use, reproduce, distribute, modify, transmit, perform, display or create derivative works of any portion of the Site without the prior written consent of Bookcicle. Nothing herein grants any rights to commercially exploit any portion of the Site or any content therein. All rights not expressly granted hereunder are expressly reserved.

You acknowledge that technical, maintenance and other issues may make the site unavailable from time to time. BOOKCICLE DOES NOT WARRANT OR GUARANTEE THAT THE SITE WILL OPERATE IN A TIMELY, UNINTERRUPTED OR ERROR-FREE MANNER, OR THAT THE SITE WILL MEET YOUR PURPOSES. Bookcicle reserves the right to modify the Site, including its availability, features, or request-throughput at any time without notice. To preserve service stability, Bookcicle may monitor usage and rate-limit, throttle, or temporarily suspend traffic that, in our sole judgment, threatens system integrity or violates plan quotas.

You acknowledge and agree that your use of the Site shall comply with all applicable laws, rules and regulations. Further, you agree that, in using the Site, you shall not:

  1. Defame, abuse, harass, stalk, threaten or otherwise violate the rights of others, including, without limitation, others' privacy rights or rights of publicity;
  2. Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with any person or entity;
  3. Restrict or inhibit any other user from using the Site, including, without limitation, by means of hacking or defacing any portion of the Site;
  4. Express or imply that any statements you make are endorsed by us without our prior written consent;
  5. Upload to, transmit through or display on the Site:
    • Any material that is unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene or otherwise objectionable, or that infringes our or any third party's intellectual property or other rights;
    • Any advertisements, solicitations, chain letters, pyramid schemes, investment opportunities or other unsolicited commercial communication (except as otherwise expressly permitted by us);
    • Any confidential, proprietary, trade secret or other intellectual property right information of any third party; or
    • Any material that you do not own all intellectual property rights in;
  6. Use the Site to harm minors in any way, including, without limitation, by uploading content that violates child pornography laws, child sexual exploitation laws and laws prohibiting the depiction of minors engaged in sexual conduct;
  7. Engage in spamming or flooding;
  8. Attempt to upload images by any method to another user's account;
  9. Access or use (or attempt to access or use) another user's content;
  10. Transmit any software or other materials that contain any viruses, worms, Trojan horses, defects, date bombs, time bombs or other items of a destructive nature;
  11. Modify, adapt, sublicense, translate, sell, reverse engineer, decompile or disassemble any portion of the Site;
  12. Remove any copyright, trademark or other proprietary rights notices contained in or displayed on any portion of the Site;
  13. “Frame” or “mirror” any portion of the Site, or link to any page of or material on the Site other than the URLs provided by us to you for such purposes as part of the Site, without our prior written authorization;
  14. Use any robot, spider, site search/retrieval application or other manual or automatic device or process to retrieve, index, “data mine” or in any way reproduce or circumvent the navigational structure or presentation of the Site; or
  15. Harvest or collect information about or from users of the Site without their express consent and, if such consent is provided, only pursuant to applicable law.

FAILURE TO COMPLY WITH THE ABOVE RULES MAY RESULT IN A SUSPENSION OR TERMINATION OF YOUR ACCESS TO AND USE OF THE SITE. ANY SUCH DETERMINATION SHALL BE MADE AT BOOKCICLE’S SOLE DISCRETION.

Content

If you post or upload to the Site in compliance with the Use of the Site section set forth above, or otherwise submit to or through Bookcicle as part of your use of the Site, any materials including, without limitation, text, photographs and other images, graphics, videos, visuals, sounds, data, files, links and other materials (collectively, “Content”), then you will retain ownership of such Content. You hereby grant us and our designees a worldwide, non-exclusive, sub-licensable (through multiple tiers), assignable, royalty-free (except as otherwise agreed during the online publishing or ordering process) right to use, reproduce, distribute (through multiple tiers) and publicly display such Content, solely in connection with operating and improving the Site and services. You acknowledge and agree that any template or layout in which you arrange or organize such Content through tools and features made available through Bookcicle are not proprietary to you, that Bookcicle may use such tools and features for any purpose, and that you have no rights in any such template and/or layout, and such template or layout shall be the sole and exclusive property of Bookcicle.

You represent, warrant and covenant that:

  1. You own or otherwise possess all necessary rights with respect to your Content;
  2. Your Content does not and will not infringe, misappropriate, use or disclose without authorization, or otherwise violate any intellectual property or proprietary right of any third party, and is not unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene or otherwise objectionable;
  3. At Bookcicle’s request, and without further consideration, you will promptly provide Bookcicle with reasonable evidence of such adequate and enforceable rights of third parties (i.e., consents, approvals, licenses or sublicenses), and agree that Bookcicle may provide a copy of these Terms to anyone claiming an infringement of copyright or trademark relating to your Content or to law enforcement or other entities as required by law or as Bookcicle reasonably determines to be necessary to protect its rights or the rights of others;
  4. You will abide by any content policy and guidelines posted on the Site; and
  5. You have obtained the written consent, release, or other permission of every identifiable individual who appears in your Content to use such individual's likeness, for purposes of using and otherwise exploiting the Content in the manner contemplated by these Terms (including for purposes of promoting the Site), or, if any such individual is under the age of eighteen (18), then you have obtained such written consent from such individual's parent or guardian. If you do submit Content that contains the likeness of an identifiable individual who is under the age of eighteen (18), we strongly encourage you not to include any identifying information (such as the individual's name or address) with such Content. Any violation of this Section, as determined in Bookcicle’s sole discretion, shall be cause to remove any and all of your Content from the Site and from applicable distribution channels, and to terminate your account and access to the Site.

You agree and acknowledge that Bookcicle may, with respect to any Content and at its sole discretion, do any or all of the following:

  1. Monitor and filter any Content (including, without limitation, by means of blocking or replacing expletives or other language that may be deemed harmful or offensive);
  2. Alter, remove or refuse to send, transmit or otherwise use any Content (including, without limitation, by suspending the processing of any order relating to any Content); and
  3. Disclose any Content, and the circumstances surrounding the transmission or use thereof, to any third party in order to operate the services on the Site; to protect us and our affiliates, distributors, partners, licensors, advertisers and sponsors, and our and their directors, officers, employees, consultants, agents, other representatives, and users; comply with legal obligations or governmental requests; to enforce these Terms; or for any other reason or purpose.

Please note that Bookcicle is not responsible for, and shall not assume any liability for, the removal or non-removal of Content from the Site and is not obligated to act in response to a report or request from any user. Further, we recommend that you store copies of your Content separate from the Site, as the Site is not intended to function as a back-up system for your Content.

AI-Generated Content, Ghostwriting & Originality

Bookcicle’s ghostwriting, editorial, translation, and conversion services may incorporate generative artificial intelligence technologies (“AI Systems”) operated by Bookcicle or third-party vendors. These systems assist in producing text based on your prompts, data, and instructions.

NO GUARANTEE OF ORIGINALITY OR ACCURACY. AI-generated output is provided “AS IS.” It may contain material that resembles existing works, factual errors, or biased/defamatory statements. Bookcicle does not warrant that any AI-generated content will be free from plagiarism, copyright infringement, or other violations of third-party rights.

Your Responsibilities. You are solely responsible for reviewing, editing, and verifying the originality, accuracy, and legality of any AI-assisted or AI-generated content prior to publication, distribution, or commercial use, and for obtaining any permissions or attributions required by law. You represent and warrant that you have all necessary rights to the inputs, prompts, reference materials, or other data you submit to Bookcicle.

Ownership. Unless otherwise agreed in writing, Bookcicle assigns to you any transferable rights it may have in AI-generated content created for you, subject to: (i) your compliance with these Terms; and (ii) the intellectual-property terms of underlying AI vendors. Bookcicle retains ownership of all prompts, templates, workflows, and tools used to operate the services.

Third-Party Vendors. AI-generated material may originate, in whole or in part, from third-party AI Systems. To the extent any liability arises from the operation or output of such systems, such liability rests with those vendors under their respective terms. Bookcicle’s liability for third-party AI output is limited to the fullest extent permitted by law.

Advanced QA Add-On (Advisory Only). If you purchase our Advanced QA add-on, Bookcicle may use AI to flag passages that may raise originality concerns. This is a heuristic advisory (not a definitive plagiarism determination) and may include suggested edits or citations. You remain responsible for final review and compliance decisions.

Indemnification & Limits. Without limiting other provisions of these Terms (see Indemnification, Disclaimer of Warranties, and Limitation of Liability), you agree to defend, indemnify, and hold harmless Bookcicle from claims arising out of your inputs or your use, publication, or distribution of AI-generated content.

Service Scope & Deliverables

Bookcicle currently offers four core AI-wrapped service categories: Editorial, Translation, Conversion, and Ghostwriting. Each order may produce one or more “Deliverables” (e.g., edited manuscripts, translated texts, converted formats/exports, or ghostwritten sections).

Unless otherwise set out in an order form or service agreement, you receive the rights in the Deliverables described in Ownership above. You may not access, copy, or redistribute Bookcicle’s underlying tools, templates, prompts, models, or workflows apart from the Deliverables themselves.

Deliverables may be provided in digital formats only. Any sample excerpts used by Bookcicle for marketing or demonstration purposes will exclude your confidential information unless you give prior written consent.

Purchases

In order to purchase any services through the Site, you must accept these Terms. We offer the following core service categories: Editorial, Translation, Conversion, and Ghostwriting. Current pricing and plan details are published on the Site. We reserve the right to modify service tiers and fees at any time without notice.

At the time of any purchase, we shall ask you to supply certain information applicable to the purchase, including, without limitation, payment information. All information that you provide to us (or any third-party payment processor we utilize) must be accurate; all such information shall be treated in the manner described in our Privacy Policy. YOU REPRESENT AND WARRANT THAT YOU HAVE THE LEGAL RIGHT TO USE ANY CREDIT CARD(S) OR OTHER PAYMENT MEANS USED TO INITIATE ANY TRANSACTION. You agree to pay all charges incurred by you or any users of your account and credit card (or other applicable payment mechanism) at the prices in effect when such charges are incurred. You will also be responsible for paying any applicable taxes relating to your purchases. Verification of information applicable to a purchase may be required prior to our acceptance of any order.

Descriptions, images, references, features, content, specifications, products, price and availability of any products or services (including our AI-assisted offerings) are subject to change without notice. Current fees may include on-demand services and subscription plans with metered usage. Our current prices can be found on the Site. The inclusion of any products or services on the Site at a particular time does not imply or warrant that these products or services will be available at any time. It is your responsibility to ascertain and obey all applicable local, state, federal and international laws (including minimum age requirements) in regard to the possession, use and sale of any item purchased through the Site. By placing an order, you represent that the products ordered will be used only in a lawful manner. We reserve the right, with or without prior notice, to: limit the available quantity of or discontinue any product or service; honor, or impose conditions on the honoring of any coupon, coupon code, promotional code or other similar promotions; bar any user from making any or all purchase(s); and refuse to provide any user with any product or service.

Title and risk of loss for any physical shipments (if applicable) pass to you upon our delivery to our carrier. We reserve the right to ship partial orders (at no additional cost to you), and the portion of any order that is partially shipped may be charged at the time of shipment.

Copyright

The Digital Millennium Copyright Act of 1998 (the “DMCA”) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If you believe in good faith that any material used or displayed on or through the Site infringes your copyright, then you may send us a notice requesting that the material be removed or access to it blocked. The notice must include the following information:

  1. Identification of the copyrighted work claimed to have been infringed (or if multiple copyrighted works are covered by a single notification, a representative list of such works);

In the event that Bookcicle removes Content in response to a DMCA notice (a “DMCA Takedown”), we shall investigate and reserve the right to ban the user whose Content violated the DMCA. Further, in the event of a DMCA Takedown, the user who violated the DMCA shall be solely liable to Bookcicle and other users for applicable refunds.

Returns and Refunds

For AI-assisted services (Editorial, Translation, Conversion, Ghostwriting), all sales are final once work has begun. Because these are custom digital services initiated upon order, refunds are generally not available. If you believe there has been an error (e.g., duplicate charge or a clear failure to deliver any output), please contact support@bookcicle.com.

Where applicable and at Bookcicle’s sole discretion, we may offer a courtesy re-run, targeted revision, or partial credit in lieu of a refund. This policy does not limit any non-waivable rights you may have under applicable consumer protection laws.

Removing Content; Termination of Account

You may choose at any time to remove your uploaded Content from the Site (e.g., source documents you provided for services). Should you do so, that Content will no longer be visible to other users of the Site (if it ever was) and will be deleted from Bookcicle’s active systems after a defined period of time, as set forth in the then current policies of Bookcicle, subject to legal retention requirements and backups.

Bookcicle shall retain all or any part of your information for as long as is reasonably required to fulfill the purposes for which it was collected or as otherwise required by law.

Use of Deliverables

When you receive a Deliverable from Bookcicle, you are granted the rights set out in your order or service agreement and these Terms. Subject to those rights, you shall not: (1) remove or obscure any proprietary notices of Bookcicle; (2) claim Bookcicle authored the Deliverable unless agreed in writing; (3) republish, resell, or re-license Bookcicle’s underlying tools, templates, prompts, or models as a standalone product; or (4) violate any third-party rights contained in your inputs or required by your prompt instructions.

For the avoidance of doubt, nothing in this section limits your rights in your own inputs or in the Deliverables as assigned or licensed to you under these Terms or a separate written agreement.

Privacy

In general, Bookcicle collects information when you sign in to the Site, use the Site or otherwise visit pages on the Site. For a complete description of how Bookcicle collects and uses its users’ information, please see Bookcicle’s Privacy Policy.

Indemnification

You agree to indemnify, defend and hold harmless Bookcicle and its distributors, partners and licensors, and our their directors, officers, employees, consultants, agents and other representatives, from and against any and all claims, damages, losses, costs (including reasonable attorneys' fees) and other expenses that arise directly or indirectly out of or from:

  1. Your breach of these Terms;
  2. Your Content (including third party infringement claims or violations of privacy rights);
  3. Your activities in connection with the Site (including any purchases and use of Deliverables);
  4. Any taxes, fees or penalties associated with your receipt of payments from Bookcicle (if any); or
  5. Any combination of (a)-(d).

You agree not to do anything to intentionally prejudice the rights granted hereunder, but in the event that you lose any rights, licenses, consents or permissions relating to specific Content necessary for you to grant the rights you grant to us hereunder, or you receive notice of a third-party claim relating to Content which you reasonably deem to be of concern, you shall immediately retire or delete such Content from our Site.

Notwithstanding anything contained herein to the contrary, you shall use commercially reasonable efforts to maintain the rights to the Content that you provide to us pursuant to these Terms.

Disclaimer of Warranties

These Terms do not designate either party as the agent, employee, legal representative, partner or joint venturer of the other party for any purpose whatsoever.

References to business or distribution channel partners in connection with Bookcicle’s operations refers to organizations with which Bookcicle has business relationships and does not imply formal legal partnerships.

Every provision of these Terms is intended to be severable. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction and venue, then such provision shall be deemed amended and interpreted, if possible, in a way that renders it enforceable. If such an interpretation is not possible, then the provision shall be deemed removed from these Terms and the rest of these Terms shall remain in full force and effect.

No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default, nor shall any delay or omission on the part of either party to exercise or avail itself of any right or remedy that it has or may have hereunder operate as a waiver of any right or remedy.

This is the entire agreement between the parties relating to the subject matter herein and supersedes any and all prior or contemporaneous written or oral agreements between the parties with respect to such subject matter.

These Terms are not assignable, transferable, or sub-licensable by you (including in connection with a change of control or by operation of law) except with Bookcicle’s prior written consent.

These Terms may not be modified or amended by you except with Bookcicle’s prior written consent.

Any heading, caption or section title contained in these Terms is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof.

Updates or Amendments to these Terms

We reserve the right to periodically amend or revise these Terms. Material changes shall be effective immediately upon the display of the revised Terms. The last revision will be reflected by the date given in the Last Modified section below. Your continued use of the Site, following the notification of such amendments on the Site, constitutes your acknowledgment and acceptance of such amendments to these Terms and your agreement to be bound by the terms of such amendments.
